PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICES. BY BOOKING A CALL, SIGNING A SERVICE AGREEMENT, OR MAKING A PAYMENT, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.
1. Parties and Acceptance
These Terms and Conditions ("Agreement" or "Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Bread Squared LLC, a Texas limited liability company ("Bread Squared," "we," "us," or "our"), operating through breadsquared.com and breadbrains.com (collectively, the "Sites").
By accessing our Sites, booking a strategy call, executing a service agreement, or remitting payment for any Services, you represent that you have read, understood, and agreed to these Terms. If you do not agree, you must not use our Sites or Services.
These Terms apply to all clients, visitors, and any individual or entity who interacts with Bread Squared LLC or its representatives in any capacity.
2. Description of Services
Bread Squared LLC provides credit consulting, credit profile positioning, authorized user tradeline placement, credit bureau dispute facilitation, and related financial education services (collectively, the "Services"). The specific scope of Services provided to each Client is outlined in a separate Service Agreement or enrollment document executed at the time of engagement.
Our Services may include, but are not limited to:
- Review and analysis of your credit profile across one or more credit bureaus
- Identification of potentially inaccurate, incomplete, or unverifiable information on your credit report
- Preparation and submission of dispute correspondence to credit reporting agencies and data furnishers
- Authorized user tradeline placement and management
- Credit positioning strategy and consulting
- Financial education materials and resources through Bread Brains (breadbrains.com)
Bread Squared LLC is not a law firm, credit repair organization as defined under the Credit Repair Organizations Act (CROA) to the extent any exemption applies, lender, mortgage broker, or financial advisor. Nothing in these Terms or our Services constitutes legal, financial, tax, or investment advice.
3. Eligibility
To engage our Services, you must:
- Be at least 18 years of age
- Be a United States resident with a valid Social Security Number or Individual Taxpayer Identification Number
- Have the legal capacity to enter into a binding contract
- Not be enrolled in an active bankruptcy proceeding unless otherwise disclosed and approved in writing by Bread Squared
Bread Squared LLC reserves the right, in its sole discretion, to refuse service to any individual who does not meet eligibility criteria or who Bread Squared determines is not a suitable candidate for the Services. This program is not for everyone. We work with a select group of clients who are committed, coachable, and prepared to actively participate in the process.
4. Client Responsibilities and Obligations
Your engagement with Bread Squared is a collaborative process. Your results are directly influenced by your participation. As a Client, you agree to:
- Provide accurate, complete, and truthful information at all times, including personal identifying information, credit account details, and financial history
- Promptly respond to communications from Bread Squared and provide requested documents within the timeframes specified
- Notify Bread Squared immediately of any changes to your contact information, credit accounts, or financial circumstances that may affect the Services
- Maintain current payment obligations on all active accounts during the engagement period
- Refrain from opening new credit accounts, making large purchases on credit, or taking any action that could materially affect your credit profile without first consulting Bread Squared
- Review all dispute correspondence and documents submitted on your behalf and promptly notify Bread Squared of any concerns or inaccuracies
- Keep your credit monitoring active and share bureau updates as requested
Bread Squared LLC is not responsible for delays, reduced outcomes, or adverse results arising from your failure to meet these obligations.
5. Client Authorization
By engaging our Services, you expressly authorize Bread Squared LLC and its designated representatives to:
- Access, obtain, and review your credit reports from Experian, Equifax, TransUnion, and any other relevant credit reporting agencies
- Prepare, submit, and follow up on dispute correspondence to credit bureaus and data furnishers on your behalf
- Communicate with creditors, collection agencies, and other third parties as necessary in the performance of the Services
- Retain copies of your credit reports and related documentation as necessary for the performance and record-keeping of the Services
This authorization remains in effect for the duration of your engagement with Bread Squared LLC and may be revoked in writing at any time, subject to the terms of your Service Agreement.
6. Fees and Payment Terms
All fees for Services are set forth in your individual Service Agreement. By enrolling and remitting payment, you agree to the fee structure applicable to your selected program.
6a. Payment Obligations
All fees are due and payable in accordance with the schedule set forth in your Service Agreement. You authorize Bread Squared LLC to charge the payment method on file for all applicable fees. You are responsible for ensuring your payment method remains valid throughout the engagement period.
6b. Late Payments
Failure to remit payment on the agreed schedule may result in suspension or termination of Services. Bread Squared LLC reserves the right to pause active work on your account until outstanding balances are resolved. Accounts delinquent beyond 15 days may be subject to a late fee as specified in your Service Agreement.
6c. Refund Policy
Due to the nature of credit consulting and profile positioning services, all fees paid are generally non-refundable once work has commenced on your account. If Bread Squared LLC is unable to begin Services due to circumstances within our control, a refund of any fees paid for unperformed Services may be issued at our discretion. Refund requests must be submitted in writing within 5 business days of the triggering event.
6d. Chargebacks
Initiating an unauthorized chargeback or payment dispute without first contacting Bread Squared LLC to resolve the issue is a material breach of these Terms. In such cases, Bread Squared reserves the right to pursue collection of the disputed amount plus any associated fees through all available legal remedies.
7. No Guarantee of Results
BREAD SQUARED LLC MAKES NO GUARANTEES, WARRANTIES, OR REPRESENTATIONS REGARDING SPECIFIC OUTCOMES, SCORE IMPROVEMENTS, FUNDING APPROVALS, OR REMOVAL OF ANY PARTICULAR ITEM FROM YOUR CREDIT REPORT.
Credit profile outcomes vary from person to person and are influenced by numerous factors outside of Bread Squared's control, including but not limited to:
- The nature, age, and validity of items on your credit report
- Whether your credit file is locked, frozen, or restricted at any credit bureau
- The response timelines and decisions of credit bureaus and data furnishers
- Changes in credit bureau policies and procedures
- Your ongoing payment behavior and account management during the engagement
- New negative items added to your credit report during the engagement period
- Active bankruptcy, judgment, or legal proceeding affecting your credit file
Any results referenced in our marketing materials, testimonials, or case studies represent individual client experiences and are not typical. Results will vary. Nothing in these Terms or in any communication from Bread Squared constitutes a guarantee of any specific financial outcome.
8. Fair Credit Reporting Act (FCRA) Compliance
Bread Squared LLC operates in compliance with the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) and applicable state consumer protection laws. You acknowledge and understand that:
- You have the right to dispute inaccurate information on your credit report directly with the credit bureaus at no cost
- You may obtain a free copy of your credit report annually at AnnualCreditReport.com
- You may place a security freeze or fraud alert on your credit file at any time at no charge
- Accurate negative information cannot be removed from your credit report before its legally mandated expiration date
- Bread Squared cannot guarantee the removal of any accurate, verifiable, or legally reportable item
Nothing in our Services waives, limits, or supersedes any right you hold under the FCRA or any applicable state law.
9. Credit Repair Organizations Act (CROA) Disclosure
To the extent Bread Squared LLC is subject to the Credit Repair Organizations Act (15 U.S.C. § 1679 et seq.), the following disclosures apply:
- You have the right to cancel any contract with Bread Squared LLC within three (3) business days of signing without penalty or obligation
- Bread Squared LLC cannot perform services until the three-day cancellation period has expired
- You have the right to sue a credit repair organization that violates the CROA
- Neither Bread Squared LLC nor anyone acting on our behalf may ask you to waive any of your rights under the CROA
A separate Consumer Credit File Rights disclosure will be provided to you prior to execution of any service contract, as required by applicable law.
10. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information exchanged in connection with the Services. Bread Squared LLC will not disclose your personal or financial information to third parties except as necessary to perform the Services, as required by law, or as described in our Privacy Policy.
You agree not to disclose Bread Squared's proprietary methods, materials, processes, or pricing to any third party without prior written consent.
11. Intellectual Property
All content, materials, educational resources, guides, templates, methodologies, and branding associated with Bread Squared LLC and Bread Brains, including but not limited to content on breadsquared.com and breadbrains.com, are the exclusive intellectual property of Bread Squared LLC and its licensors.
You are granted a limited, non-exclusive, non-transferable license to access and use materials provided to you solely for your personal, non-commercial use in connection with the Services. You may not reproduce, distribute, resell, sublicense, modify, or create derivative works from any Bread Squared materials without prior written consent.
12. Prohibited Conduct
In connection with our Sites and Services, you agree that you will not:
- Provide false, misleading, or fraudulent information to Bread Squared or to any credit bureau, creditor, or third party
- Attempt to create a new credit identity using false information or a different Social Security Number (a federal crime under 18 U.S.C. § 1028)
- Use our Services for any unlawful purpose or in violation of any applicable federal, state, or local law
- Interfere with, disrupt, or attempt to gain unauthorized access to our Sites or systems
- Reverse engineer, copy, or replicate Bread Squared's proprietary methodologies or materials
- Engage in any conduct that could expose Bread Squared LLC to civil or criminal liability
Violation of any prohibition in this section constitutes a material breach of these Terms and may result in immediate termination of Services without refund, in addition to any other remedies available to Bread Squared LLC at law or in equity.
13. Termination
13a. Termination by Client
You may terminate your engagement with Bread Squared LLC at any time by providing written notice. Termination does not entitle you to a refund of fees already paid for Services rendered or in progress, except as provided in Section 6c of these Terms.
13b. Termination by Bread Squared
Bread Squared LLC reserves the right to terminate Services immediately and without prior notice if you:
- Breach any material term of these Terms or your Service Agreement
- Provide false or fraudulent information
- Fail to remit payment as agreed
- Engage in abusive, threatening, or harassing conduct toward Bread Squared representatives
- Take actions that, in Bread Squared's sole judgment, compromise the integrity of the Services or expose Bread Squared to legal risk
Upon termination, all outstanding balances become immediately due and payable.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREAD SQUARED LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES OR SITES, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OF PROFIT, LOSS OF BUSINESS OPPORTUNITY, DENIAL OF CREDIT, OR ANY OTHER FINANCIAL LOSS, EVEN IF BREAD SQUARED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Bread Squared LLC's total cumulative liability to you for any claim arising out of or related to these Terms or the Services exceed the total amount of fees actually paid by you to Bread Squared LLC in the three (3) months immediately preceding the event giving rise to the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Bread Squared LLC, its members, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services or Sites; (b) your breach of these Terms; (c) any false, inaccurate, or misleading information you provide; or (d) your violation of any applicable law or third-party right.
16. Dispute Resolution
16a. Informal Resolution
Before initiating any formal dispute or legal proceeding, you agree to first contact Bread Squared LLC in writing and allow us 30 days to attempt to resolve the issue informally. Most concerns can be resolved through direct communication with our team.
16b. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
16c. Jurisdiction and Venue
Any legal action or proceeding arising under or related to these Terms that is not resolved through arbitration shall be brought exclusively in the state or federal courts located in Texas, and you hereby consent to the personal jurisdiction of such courts.
16d. Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration administered by a mutually agreed-upon arbitration service in accordance with its applicable rules. The arbitration shall be conducted in Texas. Each party shall bear its own arbitration costs unless the arbitrator determines otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16e. Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
17. Disclaimer of Warranties
OUR SITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BREAD SQUARED LLC DOES NOT WARRANT THAT OUR SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
18. Third-Party Services and Links
Our Sites and Services may reference, link to, or integrate with third-party platforms, tools, or services (including credit monitoring services, payment processors, and scheduling tools). Bread Squared LLC does not control, endorse, or assume responsibility for any third-party services, and your use of such services is governed by their own terms and privacy policies. We encourage you to review the terms of any third-party service before use.
19. Modifications to These Terms
Bread Squared LLC reserves the right to update, modify, or replace these Terms at any time in its sole discretion. When material changes are made, we will update the Effective Date at the top of this document and, where appropriate, provide notice via our Sites or by email to active clients. Your continued use of our Sites or Services following any modification constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. If you do not agree to any revised Terms, you must discontinue use of our Sites and Services and notify Bread Squared in writing.
20. Miscellaneous Provisions
Entire Agreement: These Terms, together with your executed Service Agreement and Privacy Policy, constitute the entire agreement between you and Bread Squared LLC with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings.
Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver: Bread Squared's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Bread Squared LLC. Bread Squared may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Notices: All notices to Bread Squared LLC must be submitted in writing via email to the contact address listed on our Sites or via certified mail to our registered business address.
Force Majeure: Bread Squared LLC shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, credit bureau system outages, or internet service interruptions.
